Privity, as far as I am aware, has never been raised as an issue in litigation over the validity and effects of priority/subordination agreements

Euroclean Canada Inc. v. Forest Glade Investments Ltd. (1985) 16 D.L.R. (4th) 289 (Ont CA). The point is covered by legislation in most of Canada.
